Terms and Conditions of providing translation and interpretation services by Future Centre Translation Agency

 

§ 1

General Terms and Conditions

  1. These Terms and Conditions define principles of providing translation and interpretation services on the benefit of clients by Future Centre Translation Agency as well as scope of work and duties of the Parties involved in a request for a translation or interpretation service.
  2. Future Centre Translation Agency initiates translation and interpretation services only upon a receipt of a written order. If the Translation Agency does not undertake an order for translation or interpretation, it shall immediately inform the Client about that fact.
  3. These Terms and Conditions are binding for both Parties as from the moment of receiving and acceptance of a request for translation or interpretation by Future Centre Translation Agency from the Client.

§ 2

Placing of orders

  1. Before placing an order Parties shall agree the scope and estimated price that the Future Centre Translation Agency sends in an electronic form the quotation including price and time of translation delivery to the Client.
  2. In case of placing the first order the compulsory pre-payment in a full amount of estimated price of translation shall be paid. Future Centre Translation Agency may at any time make the acceptance of the order conditional on Client’s pre-payment.
  3. The term of the translation shall be calculated from the date of the Client’s confirmation of the offer and its subsequent confirmation by Future Centre Translation Agency. The day of the order shall not be included in the order completion time.
  4. If the order is cancelled by the Client after its acceptance, the Client shall pay the full estimated remuneration amount.

§ 3

Translation services

  1. The standard price calculation unit of ordinary translation (not sworn) consists of 1800 characters including spaces (Word Count in MS Word).
  2. The standard price calculation unit of sworn translation consists of 1125 characters including spaces (Word Count in MS Word).
  3. The number of characters in the delivered translation shall be the basis for price calculation for both ordinary and sworn translation.
  4. Future Centre Translation Agency provides translation services in following modes:
  • Economic (Regular) mode: up to 5 pages per business day
  • Fast mode – 6-11 pages per business day (+25%)
  • Express mode: 12-20 pages – at the same day, or realization exceeding 12 pages a day, as well as realization at weekends and holidays (+50%)
  • Rate determined individually: more than 20 pages- at the same day
  1. Saturdays, Sundays and public holidays shall not be counted against the deadline of economic/regular and fast mode translation.
  2. The Client who orders the translation service in fast and express modes accepts the risk of Errors occurred due to the modes chosen by the Client. It shall not constitute the basis for any claims. Translation of specialist text shall be conducted based on the best knowledge of the Agency with the generally accepted principles of the art of translation. However, the Translation Agency shall be exempted from its liability for inaccuracies or errors in translation that can be or actually are clear and legible only for specialists skilled in a given art. Moreover, the Client by ordering the service declares that he knows and accepts that translation is not an exact science and it sometimes requires the knowledge of wider context which is actually unknown to the traslator. In such a case both Parties shall consider as accurate when the translation provided was performed based on the best professional knowledge of the translator.
  3. In case of sworn translation the deadline is calculated from the day of collection of the original of the document by our courier.

§ 4

Interpretation services

  1. The interpreting price calculation unit shall be a block:
  • Consecutive interpretation: a block = 2 working hours
  • Simultaneous interpretation: a block = 4 working hours
  • Travel assignments: a block = 8 working hours
  1. Remuneration of the interpreter shall be calculated on the basis of working time while she/he shall be at Client’s Working time of an interpreter shall start at the time he/she appears for work, as specified in the order, and end at the time he/she is released from providing interpretation services. However, it shall not be shorter than it was specified in the order. The Client cannot shorten the time of interpretation ordered during this service.
  2. Whispering interpretation shall not be performed for groups including more than 2 persons.
  3. Simultaneous interpretations shall be performed by the team of 2 interpreters.
  4. Every initiated hour of interpreting is counted as a full hour.
  5. Breaks in an interpretation that are shorter than 2 hours shall be calculated into the working time of the Client. The Client shall inform the Future Centre Translation Agency about planned breaks longer than 2 hours when placing the order.
  6. Daily working hours of the interpreter shall be 8. The 9th and 10th hour shall be accounted in 2 working hours block and remuneration shall be increased by 50 per cent of regular rate. The 11th and 12th hour shall constitute the next unit of working hours and remuneration shall be increased by 100 per cent of regular rate.
  7. The Client shall be obliged to deliver all materials that will be helpful for the interpreter (i.e. agenda, list of participants, reports, referrals, presentations, applications, other- depending on the character of the meeting) two days before the meeting. In case the Client fails to supply the materials, the translation agency shall not be responsible for the quality of interpretation related to undelivered materials.
  8. If the order for interpretation is cancelled by the Client two days before planned delivery, the Client shall pay 75 per cent of the due amout.
  9. Remuneration for interpreting on Sundays, holidays and at night (from 08:00 m. to 07:00 am) shall be increased by 100 per cent.
  10. Travel assignments shall be accounted on the basis of 8 working hours block – irrespective of the time the translation took place. The Client shall bear other costs and fees as well as he shall be responsible for organization of transport, accommodation and meals. The fee for the interpreter’s traveling time shall be determined individually depending on the place of the interpretation.
  11. The rate for the interpretation from a foreign language into other foreign language shall be determined individually.

§ 5

Confidentiality

  1. Any and all documents and materials provided by the Client, as well as the content of interpreted meetings, shall be treated as confidential and shall not be revealed to any third parties, except for co-workers of Future Centre Translation Agency.

§ 6

Complaints

  1. Any defects occurred in the translation indicated in Client’s complaints and approved by Future Centre Translation Agency shall be removed free of charge if notified within 14 days from the date of the execution of the order.
  2. Complaints shall not have any influence on the completion date as well as on remuneration for the translation, unless the Client has proved objectively that the significant part of the service has been performed incorrectly and Future Centre Translation Agency will not be able to remove proven defects. In such a situation Future Centre Translation Agency shall reduce the amount payable in respect of the translation proportionally to the percentage of proven defects.
  3. Future Centre Translation Agency shall consider the Client’s complaint within 7 business days. If the Client does not reply to considered complaint, it is assumed that the Client has accepted the opinion of Future Centre Translation Agency.
  4. Objections against the quality of the translation shall be accurate and substantiated. They shall not only arise from a different sense of aesthetics and subjective preferences and a specialized knowledge not available to the translator.
  5. Future Centre Translation Agency shall bear no responsibility for linguistic and substantial errors in original. Such information as historical dates, formulas, and calculations shall not be checked.
  6. Amount of compensation for any damages related to the performance of the order shall be limited only to the amount of the net remuneration due to translation agency for performing the order.
  7. Future Centre Translation Agency shall not be liable for any damages incurred by the Client and resulting from failure to perform or improper execution of the Client’s order.
  8. Any dispute regarding the services provided under these Terms and Conditions shall be settled by the court competent for Future Centre Translation Agency, unless the separate contracts concluded with the Client stipulates otherwise.

§ 7

Liability

  1. The Client who orders the translation service in fast and express modes accepts the risk of Errors occurred due to the mode chosen by the Client shall not be the basis for any claims. Once the error report from the Client has been received, Future Centre Translation Agency shall eliminate all defects occurred in translation within 14 business days.
  2. Notwithstanding the mode of service ordered, Future Centre Translation Agency shall bear the financial responsibility only for the net amount (exclusive of VAT) of the order.

§ 8

Withdrawal

  1. If the translation or its proofreading ordered is cancelled by the Client after its acceptance, the Client shall pay the full estimated remuneration amount.
  2. Cancellation of orders for interpretation is specified in Article 4, point 9.

§ 9

Final provisions

  1. These Terms and Conditions shall apply as from the moment of electronic confirmation of the offer by both parties or signing the cooperation agreement.
  2. In exceptional cases, Future Centre Translation Agency may apply other rules than those specified in the Terms and Conditions. However such cases shall become effective only if submitted in written.
  3. To all issues not included in this Terms and Conditions Polish law regulations are to be applied.
  4. This Terms and Conditions will be interpreted in accordance with the internal laws of the Republic of Poland.
